BACKING TRACK PERFORMANCE LICENSE AGREEMENT
(Vocal-Removed Instrumental / Studio Backing Track)

Licensee: The purchaser and original downloader of the backing track
Product: Instrumental Backing Track (WAV format) – Lead vocal removed
1. Grant of License Upon purchase and download, Licensor grants Licensee a non-exclusive, non-transferable, perpetual, worldwide license to use the Backing Track solely for permitted performance and related personal uses as set out below. This license covers only the master recording provided (instrumental only) and does not include any ownership transfer or additional rights.
2. Permitted Uses Licensee may:
•Perform the track live at concerts, clubs, theatres, competitions, churches, events, or paid/touring shows
•Use for rehearsals, practice, teaching, or student performances
•Record personal demos or auditions
•Use in live-streamed or video-recorded performances
No additional royalties are due to Licensor for these performance-based uses.
3. Prohibited Uses Licensee must NOT:
•Use the Backing Track for any commercial recording release, including new vocal recordings distributed or sold on platforms such as Spotify, Apple Music, YouTube Music, Amazon Music, or any other streaming/download service
•Distribute, stream, sell, or upload the Backing Track (alone or with new vocals) as an audio release or in any digital/physical format
•Reuse or remix the instrumental for production libraries, sample packs, karaoke distribution, or compilation releases
•Use for sync licensing (e.g., TV, film, advertisements, video games, or other media)
•Resell, redistribute, share publicly, or sublicense the Backing Track file
•Claim authorship, ownership, or copyright in the instrumental/master recording
•Remove or alter any metadata, watermarks, or copyright notices
4. Ownership and Rights
•All copyright, master recording rights, and publishing rights remain with Licensor, the songwriter(s), and/or any other rights holders.
•This license grants performance usage rights only — not ownership of the master recording or composition.
•For any commercial recording, streaming distribution, broadcast, film/TV, advertising, or other exploitation beyond live/performance use, separate mechanical, master use, and/or synchronization licenses must be obtained directly from the appropriate rights holders.
5. YouTube / Content ID and Social Media. The Licensee is strictly prohibited from using, reproducing, sampling, distributing, or incorporating any part of the provided Backing Track audio in recordings intended for release, including but not limited to YouTube, social media platforms, streaming services, or commercial sale.
This restriction applies to all forms of public or private distribution where the original Backing Track audio is included in any way.
However, there are no restrictions on the Licensee recording, performing, or distributing their own version of the song using their own original audio and personal interpretation. Such recordings must not contain any portion of the supplied Backing Track.
6. Term and Termination This license is perpetual for the original purchaser only and non-transferable. It terminates automatically upon any breach of prohibited uses. Licensor may revoke access or pursue remedies for unauthorized use.
7. Liability Licensor is not liable for misuse, third-party claims, unauthorized redistribution, or any damages arising from Licensee's use outside this agreement.
8. Acceptance Downloading, using, or performing with the Backing Track constitutes full acceptance of these terms.
